Payment of a retainer, access to the premises, or conduct of an event constitutes acceptance of these Terms.


1. PURPOSE & APPLICATION

1.1 These Terms govern all venue and kitchen hire at Otao Kitchen.
1.2 The Hirer must ensure all guests, contractors, caterers and suppliers comply.
1.3 The Hirer acknowledges they have read and understood these Terms prior to the event.


2. DEFINITIONS

Hirer – The person or entity signing the booking agreement.
Person in Charge – An adult (18+) nominated by the Hirer and present onsite for the entire event.
Venue – 389 & 393 Victoria Street, Abbotsford VIC 3067.
Kitchen Use – Any cooking, food preparation, catering or food sales activity onsite.


3. ASSUMPTION OF RISK

3.1 The Hirer acknowledges the Venue is a commercial kitchen and event space involving inherent risks, including burns, cuts, slips, equipment hazards, and food-related risks.
3.2 The Hirer voluntarily assumes all risks associated with the use of the Venue.
3.3 Otao Kitchen does not supervise guest conduct unless separately contracted.


4. GENERAL RESPONSIBILITIES

4.1 The Hirer must use the Venue lawfully and safely.
4.2 Noise must remain reasonable and comply with local regulations.
4.3 Smoking is prohibited inside and near entrances.
4.4 No subletting or transfer without written consent.
4.5 The Hirer is fully responsible for the conduct of all guests and contractors.
4.6 Otao Kitchen may terminate the event immediately without refund if safety, legal or reputational risks arise.


5. CAPACITY & USE LIMITATIONS

5.1 Capacity limits (10–30 guests per space) must not be exceeded.
5.2 Illegal activity, gambling, or unlicensed food handling is prohibited.
5.3 City of Yarra approval is required for public food sales.
5.4 Utilities, lighting and control systems must not be tampered with.


6. FOOD & KITCHEN LIABILITY

6.1 The Hirer is solely responsible for food safety compliance.
6.2 Registration with City of Yarra Environmental Health is mandatory where required.
6.3 A valid Food Safety Plan and Supervisor must be in place for food operations.
6.4 Otao Kitchen is not responsible for foodborne illness, allergen exposure, contamination, or cross-contact arising from the Hirer’s activities.
6.5 The Hirer indemnifies Otao Kitchen against all food-related claims.


7. LIQUOR RESPONSIBILITY

7.1 Alcohol sale or service requires appropriate licensing.
7.2 RSA-certified staff must be present where required.
7.3 The Hirer assumes all responsibility for alcohol service.
7.4 Otao Kitchen is not liable for intoxication-related incidents.
7.5 The Hirer indemnifies Otao Kitchen against all liquor-related claims or penalties.


8. INSURANCE

8.1 Public Liability Insurance of at least AUD $20 million is required.
8.2 Otao Kitchen requires to be noted as an interested party.
8.3 Failure to provide proof of insurance may result in cancellation without refund.


9. DAMAGE, CLEANING & BOND

9.1 The Hirer is strictly liable for all damage, loss or breakage.
9.2 A security bond may be required at Otao Kitchen’s discretion.
9.3 Cleaning beyond reasonable condition will incur professional cleaning charges.
9.4 Damage discovered after the event remains the Hirer’s responsibility.

Prohibited items (unless approved in writing):
• Open flames
• Smoke or haze machines
• Glitter, confetti or talcum powder
• Helium balloons
• Adhesives on painted surfaces
• Flammable or hazardous materials


10. CLEANING & ACCESS

10.1 Access is limited strictly to booked times (including setup and pack-down).

10.2 Overtime charges apply beyond booked hours.
10.3 The Hirer must:

  • Clean kitchen and surfaces

  • Sort waste correctly

  • Return furniture to original configuration

  • Remove all belongings

10.4 Goods left behind may be treated as abandoned.


11. EMERGENCY & SAFETY

11.1 The Hirer must nominate a Person in Charge onsite or the booking person.
11.2 Emergency exits and Toilet or Kitchen Paths must remain clear.
11.3 In an emergency, call 000 and evacuate to assembly points:
Primary – Albert & Victoria Streets
Secondary – Lithgow & Victoria Streets

11.4 The Hirer is responsible for emergency call-out costs caused by their event.


12. BOOKINGS, PAYMENT & CANCELLATION

12.1 A 50% non-refundable retainer secures the booking.
12.2 Full payment is due 14 days prior.
12.3 Additional charges payable within 7 days of invoice.
12.4 Cancellation fees apply regardless of reason:
• >4 weeks: 30% or $950 (whichever greater)
• <2 weeks: 50% or $950 (whichever greater)

12.6 Every booking requires a $500 bond. This bond will be refunded once the venue is returned in the same clean and orderly condition, with no damage to the property, equipment, or furnishings.

12.7 The lead person, day manager, or on the day event coordinator is required to complete a 30-minute venue induction prior to the event. This induction can be completed either online or in person and is designed to familiarise you with the venue, facilities, equipment, and safety procedures.

12.8 Otao Kitchen may cancel if payments, permits, or documentation are not provided.


13. LIMITATION OF LIABILITY

To the maximum extent permitted by law:

13.1 Otao Kitchen excludes liability for injury, loss, theft, property damage, business interruption, foodborne illness, or third-party claims arising from the Hirer’s event.
13.2 If liability cannot be excluded, it is limited to the total hire fee paid.


14. INDEMNITY

The Hirer indemnifies and holds harmless Otao Kitchen Pty Ltd, its directors, employees and agents against all claims, damages, fines, penalties, legal costs and losses arising from:

• Use of the Venue
• Conduct of guests
• Food handling
• Alcohol service
• Breach of these Terms
• Regulatory enforcement action

This indemnity survives termination of the agreement.


15. TERMINATION RIGHTS

Otao Kitchen may terminate the event without refund for:

• Breach of law
• Safety risks
• Noise complaints
• Capacity breaches
• Misrepresentation of event details
• Failure to follow staff directions


16. PRIVACY & DISPUTES

16.1 Personal information is handled in accordance with our Privacy Policy.
16.2 Disputes will be determined by an Otao Kitchen Director.
16.3 Victorian law governs this agreement.


ACCEPTANCE

Payment of any booking amount constitutes full acceptance of these Terms & Conditions.
